Software License Terms
These Terms govern the purchase and use of software licenses provided by KAI GIKEN.
Important refund policy
Due to the nature of digital software licenses, we cannot accept cancellation, return, exchange, or refund requests after a license key has been issued or a license has been activated, except where the product cannot be used normally due to our willful misconduct or gross negligence.

1. Nature of the product
The products provided through this service are software licenses granting usage rights. Purchase of a license does not transfer ownership, copyright, patent rights, trademarks, or any other intellectual property rights in the software or related materials.
2. License types and usage scope
The permitted usage scope, license term, number of licenses, activation method, and available functions are defined by each product page, quotation, order details, or other documentation provided by us. Users may use the software only within the purchased license scope.
3. Payment and license delivery
Payment methods and payment timing follow the information shown during the purchase flow. After payment confirmation and any required approval procedures, we will provide the license key, download information, or activation information by screen display, email, or other appropriate method.
4. Cancellation, return, and refund
Before license key issuance or license activation, cancellation may be accepted only when separately approved by us. After license key issuance or license activation, cancellation, return, exchange, and refund are not available due to the nature of digital software licenses. This does not apply where the software cannot be used normally due to our willful misconduct or gross negligence.
5. Prohibited acts
- Transfer, resale, lending, sharing, or sublicensing of licenses without our prior approval.
- Use beyond the purchased license count, license term, or permitted usage scope.
- Reverse engineering, decompilation, disassembly, analysis, modification, or circumvention of license authentication.
- Unauthorized access, excessive load, interference with service operation, or any act that may damage our systems.
- Using the software in violation of applicable laws or regulations.
6. Suspension or termination of license
If a user violates these terms, provides false information, fails to pay, or otherwise engages in conduct that reasonably interferes with our services or operations, we may suspend or terminate the license, account, download access, or support without prior notice. Upon termination of the license, the user must immediately cease using the software and delete or destroy all copies of the software and related materials in their possession.
7. Service maintenance and authentication server
License activation, download, email delivery, and related services may be temporarily unavailable due to maintenance, system failure, security response, external service failure, or other operational reasons. We will make reasonable efforts to restore service but do not guarantee uninterrupted availability.
8. Disclaimer
Except where caused by our willful misconduct or gross negligence, the software and related services are provided “as is” without warranties of any kind, whether express or implied, to the extent permitted by applicable law.
We are not liable for damages arising from or related to:
- Use or inability to use the software
- Service interruption
- Data loss
- Communication failures
- Email delivery failures
- License authentication failures
- Third-party service failures
9. Limitation of Liability
To the maximum extent permitted by applicable law, our total liability arising from or related to the software or these Terms shall not exceed the total amount paid by the user for the applicable license. In no event shall we be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, business interruption, or loss of data.
10. Export Control and Compliance
Users shall comply with all applicable export control laws, sanctions regulations, and other applicable laws and regulations when using the software.
11. Governing law and jurisdiction
These terms are governed by the laws of Japan. Any dispute arising in connection with these terms shall be subject to the exclusive jurisdiction of the Tokyo District Court, unless otherwise required by applicable law. shall have exclusive jurisdiction, unless otherwise required by law.
